What’s the Deal with Delaware?
8 Aug, 2016. 0 Comments. Uncategorised. Posted By: Sasha Begum
I've represented several startups recently where the same circumstance has presented itself.  Since I'm a Texas attorney, it must be assumed that the founders of these startups either live in or are operating their business out of Texas.  By the time they've come to me, they have already formed their company (whether a corporation or LLC) in Delaware. "Why'd you form your company in Delaware" I inquire. "Uhm, because we were told that was the best place", they respond. "Yes, but why is it the best place for your company?" I ask. Silence. Then, they (being startups on a shoe…

The United States is a nation of immigrants. Everyone who lives in this country, with the exception of Native Americans, is either an immigrant or the descendant of immigrants. The country continues to accept new citizens every year although the process today is a bit more complicated than it used to be when it only required a boat ride to Ellis Island. Immigration can be a long and arduous process and can take years. Gaining citizenship in the United States can be even more difficult. Every person has a different journey to becoming a citizen, but this blog is a…

Whether you are a writer, a musician, a photographer, or any other kind of artist, a basic understanding of copyright law is one of the most important tools of your trade.   First, the biggest myth: The “Poor Man’s Copyright,” otherwise known as mailing yourself a copy of your work, is not a copyright at all. This kind of evidence would fall apart in court for a few…
